Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Bitinda websites at https://www.bitinda.ai and https://www.bitinda.app, our mobile applications and the Bitinda service (together, the "Service"), provided by Bitinda Inc. ("Bitinda AI", "we", "us"). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. What Bitinda is — and is not

Bitinda is a platform provider for agentic commerce: software that, on your instructions and subject to your approval, finds products, navigates third-party stores and completes checkout on your device. Bitinda is not a bank, money transmitter, payment institution, broker or custodian. Bitinda does not hold, transfer, take custody of or collect your funds, does not itself issue payment cards, and does not perform identity verification. Payment processing, funds custody, stablecoin conversion, card issuance and identity verification are provided by licensed third-party providers under their own agreements with you. Your use of those services is subject to those providers' terms.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service you represent that you meet these requirements and that the information you provide is accurate.

3. Your account

You are responsible for maintaining the confidentiality of your account credentials, passkeys and one-time codes, and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or present security or legal risk.

4. Authorization and your instructions

The agent acts only on instructions you give and within the limits you set (such as amount, merchant and category), and each purchase requires your approval. You are responsible for the instructions you provide and for reviewing the details (item, price, merchant, delivery address) before approving. Once you authorize a purchase, it is routed to the relevant provider and merchant for execution and may not be reversible except under the merchant's or provider's policies.

5. Third-party merchants and providers

Products and services are sold by third-party merchants, and payments, funds and verification are handled by third-party providers. Bitinda is not a party to your purchase from a merchant and is not responsible for merchants' or providers' products, services, pricing, availability, fulfillment, refunds or conduct. Disputes about an order or a payment are subject to the relevant merchant's or provider's policies. We do not name our providers at this stage, as our integrations are still being finalized; this section will be updated as they go live.

6. Balance, cards and payments

Any balance you fund is held by a licensed third-party provider; Bitinda never holds your funds. Single-use, merchant-locked cards used to complete a purchase are issued by a licensed card provider. Your rights regarding funds, refunds and chargebacks are governed by the applicable provider's and merchant's terms and by law.

7. Acceptable use

You agree not to use the Service to: break any law or third-party right; make fraudulent, illegal or unauthorized transactions; circumvent merchant, provider or security controls; interfere with or attempt to disrupt the Service; scrape, reverse engineer or misuse the Service or its data; or use the Service on behalf of someone else without authority.

8. Intellectual property

The Service, including its software, design, text and logos, is owned by Bitinda AI or its licensors and is protected by law. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. Brand names and logos of merchants and providers are the property of their respective owners and are shown for identification and illustration only; Bitinda is independent of and not endorsed by them.

9. Beta and availability

The Service may be offered as a private beta and may change, be interrupted or be discontinued at any time. Features and pricing are not final and may change before general availability.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure, or that the agent will always interpret your instructions or complete a purchase as intended.

11. Limitation of liability

To the maximum extent permitted by law, Bitinda AI and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from your use of the Service. In any case, our total liability for any claim relating to the Service will not exceed the greater of (a) the amounts you paid to Bitinda AI in the 12 months before the event giving rise to the claim, or (b) US$100. Nothing in these Terms excludes liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify and hold harmless Bitinda AI and its affiliates from claims and expenses arising out of your use of the Service, your instructions, or your violation of these Terms or any law or third-party right.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if required for legal, security or operational reasons. Provisions that by their nature should survive termination will survive.

14. Changes to these Terms

We may update these Terms from time to time. We will notify you of significant changes by email or a prominent notice on the Site. Significant changes take effect 30 days after notification; non-material changes take effect immediately. Continued use after changes means you accept them.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their jurisdiction and venue.
